Lead Circle Terms & Conditions

These Terms & Conditions govern access to and use of the Lead Circle platform, website, software, applications, marketplace, products and services ("Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms & Conditions.

If you do not agree, you must immediately cease using the Services.

1. Acceptance of Terms

By registering an account with Lead Circle, you acknowledge and agree that:

You have read and understood these Terms.
You are legally capable of entering into a binding agreement.
If acting on behalf of a company, trust, partnership, or other entity, you have authority to bind that entity.
These Terms form a legally binding agreement between you and Lead Circle.

2. Amendments

Lead Circle may amend, update, replace, or modify these Terms at any time without notice.

The latest version will be published on the Lead Circle platform or website.

Continued use of the Services constitutes acceptance of any amended Terms.

3. Account Registration

You must:

Provide accurate and complete information.
Maintain current account details.
Keep login credentials confidential.
Notify Lead Circle immediately of unauthorised access.

You are responsible for all activity occurring under your account.

Lead Circle may refuse, suspend, restrict, or terminate any account at its sole discretion.

4. Account Funding

Users may pre-fund their account balance for the purchase of leads, advertising, software subscriptions, services, products, or other offerings.

4.1 Non-Refundable Funds

All deposits, account top-ups, credits, bonuses, promotional credits, and account balances are non-refundable unless otherwise required by Australian law.

No refunds will be provided because:

A user changes their mind.
A user ceases operating their business.
A user fails to use available credits.
A user disagrees with lead performance.
A user closes their account.

4.2 No Expiry

Account balances do not expire.

4.3 Transferability

Lead Circle may permit account balances to be:

Transferred between accounts;
Applied to alternative products or services;
Used for future offerings;

at Lead Circle's sole discretion. Lead Circle reserves the right to refuse any transfer request.

4.4 Promotional Credits

Promotional credits, bonus credits, and account incentives:

Have no cash value;
Cannot be redeemed for cash;
May be withdrawn at any time;
May expire if specified by Lead Circle.

5. Lead Purchases

Lead Circle operates as a marketplace and technology platform connecting buyers with lead opportunities.

Lead Circle does not guarantee:

Lead quality;
Lead accuracy;
Contactability;
Conversion rates;
Sales outcomes;
Revenue generation;
Return on investment.

We do guarantee that the phone number provided for a lead is valid.

Lead performance varies based on numerous factors outside Lead Circle's control.

6. Lead Ownership and Use

Purchased leads are licensed for use by the purchasing account only.

Unless expressly authorised in writing, users must not:

Resell leads;
Redistribute leads;
Publish lead information;
Use leads unlawfully.

Any unauthorised resale or distribution may result in immediate account termination.

7. Lead Disputes

Lead Circle may offer a lead review or dispute process at its discretion.

Lead Circle has absolute discretion to determine whether:

A lead qualifies for replacement;
A credit should be issued;
A dispute should be rejected.

Lead Circle's decision is final.

Failure to dispute a lead within any specified review period constitutes acceptance of the lead.

8. Pricing

Lead Circle may:

Change pricing at any time;
Introduce new pricing structures;
Remove products;
Introduce subscription fees;
Modify service fees.

Pricing changes may occur without notice.

9. Chargebacks

Users agree not to initiate chargebacks, payment reversals, or payment disputes for valid transactions.

Where a chargeback is initiated:

Lead Circle may suspend access immediately;
Outstanding balances become immediately due;
Recovery costs, legal fees, and collection expenses may be charged to the user.

10. Compliance Obligations

Users are solely responsible for complying with all applicable laws including:

Privacy Act 1988 (Cth);
Spam Act 2003 (Cth);
Australian Consumer Law;
Do Not Call Register Act 2006 (Cth);
Telecommunications regulations;
Financial services regulations;
Any industry-specific requirements.

Lead Circle accepts no responsibility for a user's regulatory compliance.

11. Prohibited Conduct

Users must not:

Use the Services unlawfully;
Submit false information;
Interfere with platform operations;
Attempt unauthorised access;
Reverse engineer software;
Use automated scraping tools;
Harass staff, contractors, clients, or suppliers;
Engage in fraudulent conduct.

Lead Circle may immediately terminate accounts for prohibited conduct.

12. Intellectual Property

All intellectual property rights remain the exclusive property of Lead Circle.

Nothing in these Terms grants ownership of:

Software;
Databases;
Lead scoring systems;
Marketing systems;
Branding;
Content;
Documentation.

13. Confidential Information

Users must keep confidential any information obtained through the Services that is not publicly available.

This obligation survives account termination.

14. Service Availability

Lead Circle does not guarantee uninterrupted or error-free Services.

Lead Circle may:

Suspend Services;
Modify Services;
Remove features;
Perform maintenance;
Discontinue products;

without liability.

15. Disclaimer

To the maximum extent permitted by law:

Services are provided "as is";
Services are provided "as available";
All warranties not expressly required by law are excluded.

Lead Circle makes no representations regarding:

Suitability;
Reliability;
Availability;
Accuracy;
Merchantability;
Fitness for purpose.

16. Limitation of Liability

To the fullest extent permitted by law, Lead Circle excludes all liability for:

Loss of revenue;
Loss of profits;
Loss of opportunity;
Loss of goodwill;
Indirect loss;
Consequential loss;
Special damages.

Where liability cannot be excluded, Lead Circle's total liability is limited to the lesser of: the amount paid by the user during the preceding 3 months; or AUD $1,000.

17. Indemnity

You indemnify and hold harmless Lead Circle, its officers, directors, shareholders, employees, contractors, agents, affiliates, successors, and assigns from any claims, liabilities, losses, damages, costs, penalties, and legal expenses arising from:

Your use of the Services;
Breach of these Terms;
Breach of law;
Misuse of lead data;
Customer complaints;
Regulatory investigations.

This indemnity survives termination.

18. Suspension and Termination

Lead Circle may suspend, restrict, or terminate access at any time, with or without notice.

Reasons may include:

Breach of these Terms;
Suspected fraud;
Chargeback activity;
Compliance concerns;
Platform abuse.

Termination does not affect accrued rights or obligations.

19. Assignment

Lead Circle may assign, transfer, or novate its rights and obligations under these Terms without notice.

Users may not assign their rights without prior written consent.

20. Force Majeure

Lead Circle is not liable for delays or failures caused by circumstances beyond its reasonable control, including:

Natural disasters;
Power outages;
Telecommunications failures;
Cyber incidents;
Government actions;
Third-party service failures.

21. Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.

22. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior discussions, representations, understandings, and agreements.

23. Governing Law

These Terms are governed by the laws of New South Wales, Australia.

The parties submit exclusively to the courts of New South Wales.
